Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “Customer,” “you,” or “your”) and Leading Star Multiservices, LLC (“Company,” “we,” “us,” or “our”) regarding your use of our event decoration and rental services.

By engaging our services, making a booking, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Service Description

Leading Star Multiservices, LLC provides event decoration and rental services, including but not limited to:

Event Decoration Services

  • Birthday party decorations
  • Baby shower decorations
  • Bridal shower decorations
  • Anniversary and milestone celebration decorations
  • Corporate event decorations
  • Custom theme design and implementation
  • Setup and breakdown services

Rental Services

  • Throne chairs
  • Centerpieces
  • Backdrops
  • Table linens and accessories
  • Decorative accents and props
  • Other event-related equipment and décor items

Booking and Reservations

Booking Process

  • All bookings must be confirmed in writing (email confirmation acceptable)
  • A signed service agreement and deposit are required to secure your booking
  • Bookings are subject to availability and our acceptance of the service request
  • We reserve the right to decline any booking at our sole discretion

Service Agreements

  • Each event requires a detailed service agreement outlining specific services, pricing, and terms
  • Service agreements supersede these general Terms where specific provisions conflict
  • Any modifications to the service agreement must be made in writing and signed by both parties

Booking Confirmation

Your booking is confirmed only upon receipt of:

  • Signed service agreement
  • Required deposit payment
  • Completion of our booking intake process

Verbal agreements or estimates do not constitute confirmed bookings

Pricing and Payment Terms

Pricing Structure

  • All prices are provided in U.S. dollars and are subject to applicable taxes
  • Pricing may vary based on event size, complexity, location, and specific requirements
  • Final pricing will be outlined in your service agreement
  • We reserve the right to adjust pricing for changes to the original service agreement

Payment Schedule

  • Deposit: 50% of the total service cost due upon signing the service agreement
  • Final Payment: Remaining balance due 7 days prior to event date
  • Rental Services: Full payment may be required upon pickup or delivery
  • Corporate Clients: Net 30 payment terms available upon approval and completion of credit application

Accepted Payment Methods

  • Cash, check, credit cards (Visa, Mastercard, American Express, Discover)
  • Online payment through approved payment processors
  • Bank transfers or wire transfers (for large corporate events)
  • Payment plans available upon prior arrangement and approval

Late Payments

  • Late payment fees of $25 or 1.5% per month (whichever is greater) apply to overdue amounts
  • Services may be suspended or cancelled for non-payment
  • Collection costs and reasonable attorney fees may be charged for delinquent accounts

Cancellation and Refund Policy

Client Cancellation

  • More than 30 days before the event: Full refund minus 10% processing fee
  • 15-30 days before the event: 50% refund of the total contract amount
  • 7-14 days before the event: 25% refund of the total contract amount
  • Less than 7 days before the event: No refund available
  • Day of event: No refund; full payment due

Company Cancellation

  • We may cancel services due to circumstances beyond our control (see Force Majeure section)
  • In case of Company cancellation, full refunds will be provided, including deposits
  • We will make reasonable efforts to refer you to alternative service providers
  • Our liability is limited to the refund of payments made; no additional damages will be paid

Rescheduling

  • Events may be rescheduled subject to availability and advance notice
  • Rescheduling within 14 days of the original event date may incur additional fees
  • Multiple rescheduling requests may result in cancellation at the Company’s discretion
  • Seasonal pricing differences may apply to rescheduled events

Service Delivery and Setup

Delivery and Setup

  • We will arrive at the venue at the agreed-upon time for setup
  • Setup times are estimated; actual time may vary based on venue conditions and complexity
  • Client must ensure venue access is available during the agreed setup and breakdown times
  • Additional charges may apply for delays caused by venue access issues or changes

Venue Requirements

  • Client is responsible for ensuring the venue allows our services and equipment
  • Client must obtain all necessary permits and approvals from venue management
  • Adequate electrical power, lighting, and space must be available as specified in the service agreement
  • Client is responsible for any venue-imposed fees, restrictions, or additional requirements

Breakdown and Pickup

  • All rental equipment must be returned in the same condition as delivered
  • Pickup will occur at the agreed-upon time following the event conclusion
  • Client is responsible for ensuring rental items are available and accessible for pickup
  • Late pickup may result in additional charges

Equipment and Property

Rental Equipment

  • All rental equipment remains the property of Leading Star Multiservices, LLC
  • Equipment must be used only for its intended purpose
  • Client is responsible for the care and security of the rental equipment during the rental period
  • Any damage, loss, or theft of equipment will be charged at replacement cost plus handling fees

Damage and Loss

  • Client is liable for damage to or loss of rental equipment beyond normal wear and tear
  • Damage charges will be assessed based on repair or replacement costs
  • Cleaning fees may apply for equipment returned in unsanitary condition
  • Full replacement cost will be charged for stolen or missing items

Prohibited Uses

  • Rental equipment may not be used outdoors unless specifically designed and approved for outdoor use
  • No smoking, open flames, or hazardous substances near rental equipment
  • Equipment may not be modified, altered, or repaired by anyone other than Company personnel
  • Rental equipment may not be sublet or used by parties other than the Client

Liability and Insurance

Limitation of Liability

  • Our total liability for any claim related to our services shall not exceed the amount paid by the Client for the specific event
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not responsible for personal injury or property damage at your event, except as caused by our gross negligence
  • Client acknowledges that event entertainment and activities carry inherent risks

Client Responsibilities

  • Client is responsible for the safety and conduct of all event guests
  • Client must inform guests of any safety considerations related to decorations or rental equipment
  • Client is responsible for obtaining adequate event insurance as deemed necessary
  • Client must comply with all applicable laws, regulations, and venue requirements

Indemnification

Client agrees to indemnify and hold harmless Company from claims arising from:

  • Guest behavior or injuries at the event
  • Violation of venue rules or local ordinances
  • Misuse of rental equipment
  • Any activities or services provided by third parties at the event

Insurance

  • Leading Star Multiservices, LLC maintains general liability insurance
  • Certificate of insurance available upon request for venue requirements
  • Client strongly encouraged to obtain event insurance
  • Additional insured status may be available upon request and at an additional fee

Force Majeure

Uncontrollable Circumstances

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including but not limited to:

  • Acts of God, natural disasters, severe weather
  • Government actions, regulations, or restrictions
  • Labor strikes, transportation disruptions
  • Pandemic, epidemic, or public health emergencies
  • Venue closures or unavailability
  • Supplier failures or material shortages

Weather-Related Issues

  • For outdoor events, we will monitor weather conditions and communicate alternatives
  • Setup may be modified or relocated to protect equipment and ensure safety
  • Indoor backup plans are strongly recommended for outdoor events
  • No refunds for weather-related modifications made for safety reasons

Alternative Arrangements

  • In case of force majeure events, we will work with the Client to reschedule or modify services
  • If rescheduling is impossible, refunds will be provided according to our cancellation policy
  • We will make reasonable efforts to suggest alternative solutions or vendors

Intellectual Property

Photography and Publicity

  • Company may photograph decorated events for the portfolio and marketing purposes
  • Client grants permission for use of event photos in the Company promotional materials
  • Client names and personal details will not be used without explicit permission
  • Client may request exclusion from promotional use at the time of booking

Custom Designs

  • Custom decorative designs created by the Company remain the Company’s intellectual property
  • Client receives a limited license to use designs for their specific contracted event
  • Designs may not be replicated by other vendors without the Company’s consent
  • Proprietary arrangement techniques and concepts remain the Company’s trade secrets

Client Materials

  • Client-provided materials, logos, or designs remain the Client’s intellectual property
  • Company assumes no liability for copyright or trademark infringement of Client-provided materials
  • Client warrants they have the rights to all materials provided for event use

Dispute Resolution

Informal Resolution

  • Parties agree to first attempt an informal resolution of disputes through direct communication
  • Complaints should be submitted in writing within 30 days of the event
  • Company will respond to complaints within 10 business days

Mediation

  • If informal resolution fails, disputes will be resolved through binding mediation
  • Mediation will be conducted through the American Arbitration Association
  • Mediation location will be Jacksonville, Florida, or a mutually agreed location
  • Each party is responsible for its own mediation costs

Governing Law

  • These Terms are governed by the laws of the State of Florida
  • Any legal proceedings must be brought in the courts of Duval County, Florida
  • Florida law applies regardless of conflict of law principles

Miscellaneous Provisions

Entire Agreement

  • These Terms, together with any signed service agreement, constitute the entire agreement
  • No verbal agreements or representations modify these Terms
  • Any modifications must be in writing and signed by both parties

Severability

  • If any provision of these Terms is found unenforceable, the remaining provisions remain in effect
  • Invalid provisions will be modified to be enforceable while preserving the original intent

Assignment

  • Client may not assign or transfer their rights under these Terms without the Company’s consent
  • Company may assign these Terms in connection with business sale or transfer
  • These Terms bind successors and permitted assigns of both parties

Notice Requirements

  • All notices must be in writing and delivered via email, certified mail, or personal delivery
  • Notices are effective when received or when delivery is attempted to the provided address
  • Client is responsible for keeping contact information current

Waiver

  • Failure to enforce any provision does not constitute a waiver of future enforcement
  • Waivers must be in writing and signed by the waiving party
  • No waiver of one breach constitutes a waiver of any other or subsequent breach

Independent Contractors

  • Company is an independent contractor, not an employee or agent of Client
  • No partnership, joint venture, or agency relationship is created
  • Each party is responsible for their own taxes, insurance, and legal obligations

Privacy and Data Protection

  • Collection and use of Client personal information is governed by our Privacy Policy
  • Client consents to the use of personal information as outlined in the Privacy Policy
  • Data security measures implemented to protect Client information
  • Client rights regarding personal information are detailed in Privacy Policy

Acknowledgment

By using our services, you acknowledge that you have read and understood these Terms and Conditions and agree to be bound by them. These Terms are effective as of the date listed above and remain in effect until superseded by updated terms.
